Gold (1 Year All-Access Membership) - 2 People

All membership fees are non-negotiable and non-refundable. All fees are to be paid in full. One year memberships require a ten (10) month minimum commitment, specifically twenty two (22) bi-weekly payments of $67.00 (HST already included) for the first paying member followed by and additional 10% discount for each additional immediate family member set forth in this membership agreement. Any membership cancellation thereafter must be made in writing and will take effect after thirty (30) business days. This agreement is for an All Access One Year Membership provided by 2144783 Ontario Limited hereinafter referred to as Maximum Training Centre, located at 1929 Provincial Road (Unit C), Windsor, Ontario, N8W 5V7. Canada. Memberships and recurring payments cannot be temporarily paused or suspended for any reason until the minimum commitment is fulfilled, except in the event of a government mandated lockdown or if Maximum Training Centre is unable to provide supervised or unsupervised services for use of the facility for a period longer than 14 days. After any or one (1) declined or insufficient payment, you and/or your child will be prohibited from attending classes until any outstanding balance is paid in full, and an alternative, reliable payment method is established. Failure to pay the agreed upon membership fees may result in your file being sent to a collections agency. In the event of any dispute arising from a member’s failure to pay membership dues or any other money due to Maximum Training Centre, the prevailing party shall be entitled to recover all actual attorneys’ fees and costs incurred in connection therewith. In some cases, this membership agreement may be terminated before the agreed upon minimum payment duration for a fee of $150.00+HST per family customer, but will be determined on a case by case basis and at the sole discretion of Maximum Training Centre. Maximum Training Centre reserves the right to terminate the membership of any individual at its sole discretion. Maximum Training Centre may immediately terminate the membership of any individual that attempts to circumvent the rules of Maximum Training Centre Inc. or is involved in harmful behavior towards the members, guests or property of Maximum Training Centre. Any individual that causes damage to the equipment or property of Maximum Training Centre, whether intentionally, unintentionally or through negligent behaviour, will be responsible for all replacement costs for damaged items. Maximum Training Centre may collect these costs from any bank account or credit card associated with the individual responsible for the damages at its sole discretion and without notice. By entering into this agreement, you are authorizing Maximum Training Centre to begin collecting membership payments as per this agreement for recurring payments and/or one-time payments from time to time, and for payment of all charges arising under your membership with Maximum Training Centre, from your specified bank account or credit card. You must also agree to immediately provide an alternative payment method should your credit card or bank account prove to be unreliable for any reason. All members must complete a 10 day probationary period before possibly receiving an access key to the facility. Adult members over the age of 18 will be eligible for an access key on a case by case basis where only eligible paying members may access the facility or lose the rights themselves to have any further unsupervised access outside of Maximum Training Centre scheduled program's. All members and guests must agree to abide by any facility rules or policies, and to follow any general or safety guidelines made available by Maximum Training Centre. Our programs offered, class schedule, and hours of availability are subject to change without notice, and may change from time to time. Short-term visitors to the region, or visitors from out of town, are not eligible for membership, including the advertised 10 day satisfaction guarantee. A private, semi-private lesson or short-term training pass must be purchased instead to attend classes for the duration of your visit, if available at that particular time. As per O. Reg. 364/20, proof of vaccination or valid exemption is required for anyone 12 years or older entering the facility for martial arts training purposes. It is your responsibility to understand the implications of any current or future Covid-19 related vaccine regulations with respect to your or your child's participation in any activity or service provided by or endorsed by Maximum Training Centre. Your membership payments will continue as agreed regardless of your or your child's vaccination status. If you are not satisfied with your membership, you have 10 days upon signing this agreement to cancel your membership without penalty. Your initial payment however will not be refunded upon your cancellation, and you will no longer be able to attend classes or enter the facility immediately thereafter. Cancellation requests must be made in writing and sent via email to mtcwindsor@outlook.com. By signing this agreement, you attest that you are not relying upon any oral or written representations or statements made by any directors, officers, shareholders, volunteers, employees, sub-contractors, instructors, or representatives of Maximum Training Centre other than what is set forth in this agreement.

MAXIMUM TRAINING CENTRE WAIVER, ACKNOWLEGEMENT AND RELEASE In signing this document, you are waiving the right to bring a court action to recover compensation or obtain any other remedy for; personal injuries, damage to property, loss of property, accident of any kind, death, arising out of your use of 2144783 Ontario Limited hereinafter referred to as Maximum Training Centre. This includes Maximum Training Centre’s facilities, equipment, your participation in classes or activities sponsored by Maximum Training Centre (including but not limited to tournaments, boot camps, seminars, clinics, workshops, martial arts classes, and special events), whether supervised or unsupervised. You must be 18 years of age or older to sign this Acknowledgement and Release, otherwise a parent or guardian must sign on your behalf. ACKNOWLEDGEMENT AND RELEASE Maximum Training Centre operates facilities ("Gym") and equipment located at 1929 Provincial Rd (Unit C),Windsor, Ontario, N8W 5V7, Canada and may provide classes or activities whether supervised or unsupervised by Maximum Training Centre’s agents (collectively the "Gym Activities"). AND WHEREAS an essential condition for Maximum Training Centre permitting me to use its facilities and/ or participate in Gym Activities, I have agreed to give this Acknowledgement and Release. NOW THEREFORE, IN CONSIDERATION of Maximum Training Centre permitting me to use the Gym and participate in Gym Activities, I, for myself, my personal representatives, assigns, and heirs: (1) Acknowledge, agree and represent that I understand the nature of the Gym and Gym Activities and that I am in good health and in proper physical condition to use the Gym and participate in Gym Activities. (2) Fully understand that: a)The Gym and Gym Activities may involve serious risks and dangers of serious bodily injury, including permanent disability, paralysis, and death (the "risks"). b)These risks may be caused by my own action, the actions or inactions of others using the Gym or participating in the Gym Activities, the condition of the Gym or the condition in which the Gym Activities take place, or the negligence of the releases listed below and the following page. c)There may be other special or unusual risks associated with the Gym or Gym Activities, including social or economic losses, either known to me or not readily foreseeable at this time AND I FULLY ACCEPT AND ASSUME ALL SUCH RISKS AND ALL RESPONSIBILITY FOR ALL LOSSES, COSTS, AND DAMAGES I MAY INCURE AS A RESULT OF MY USE OF THE GYM OR MY PARTICIPATION IN THE GYM ACTIVITIES BOTH NOW AND IN THE FUTURE. (3) Agree and warrant that I will examine and inspect all gym equipment and each Gym Activity in which I take part and that, if I observe any condition which I consider to be hazardous or dangerous, I will notify the proper authority in charge of the Gym or Gym Activities, as the context requires, and will refuse to use such equipment or take part in such Gym Activities until the condition has been corrected to my satisfaction. (4)Hereby release, discharge and covenant not to sue Maximum Training Centre, its officers, directors, shareholders, employees, volunteers, instructors, participants in Gym Activities, users of the Gym, assigns, owners and lessors of the facility where the Gym is located, all designers, manufacturers and installers of equipment and other fixtures located at the Gym's facilities (collectively referred to as the "releases") from all liability, claims, causes of action, demands, losses or damages on my account caused, or alleged to have been caused, by in whole or in part by my use of the Gym, my participation in Gym Activities or the negligence of the releases or otherwise. I further agree that if despite executing this acknowledgement and release I or anyone on my behalf, makes a claim against any of the releases, whether directly or indirectly, I will indemnify, save and hold harmless each of the releases from any litigation expense, solicitor fee, loss, liability, damage or cost which may be incurred as a result of such claim. (5)CHOICE OF LAW AND ATTORNMENT- This acknowledgement and release shall be governed by and construed in accordance with the laws of the province of Ontario and the laws of Canada. I agree that the courts of the province of Ontario will have exclusive jurisdiction to determine all disputes and claims arising between the parties. (6)SUCCESSORS AND ASSIGNS- This acknowledgement and release shall be binding upon myself, my personal representatives, assigns, and heirs and shall endure to the benefit of Maximum Training Centre and its respective heirs, executors, administrators, directors, successors and, assigns. (7)I understand and agree that I may be photographed, videotaped, contacted by email or other means, or have my likeness recorded by other means and used for commercial purposes, including but not limited to marketing, instructional products, and internet applications. I have read this acknowledgement and release, fully understand its terms and understand that I have given up substantial rights by signing it, and have signed it freely and without any inducement or assistance of any nature and intend it to be irrevocable and unconditional release of all liability to the greatest extent allowed by law and agree that if any portion of this acknowledgement and release is held to be invalid, the balance of the acknowledgement and release shall continue in full force and effect.

MAXIMUM TRAINING CENTRE WAIVER, ACKNOWLEGEMENT AND RELEASE Please read carefully! The novel coronavirus, COVID-19, has been declared a worldwide pandemic by the World Health Organization. COVID-19 is highly contagious and is known to spread mainly by contact from person to person. Consequently, local, provincial, and federal governmental authorities recommend various measures and prohibit a variety of behaviours in order to reduce the spread of the virus. BY ENTERING THE PREMISE, YOU ADMIT TO ADHERING TO THE RULES AND REGULATIONS SET OUT BY THE PROVINCE AND MINISTRY OF HEALTH REGARDING THE COVID-19 VACCINATION REQUIREMENTS. As per (O. REG. 364/20) This Specified Business or Organizations must comply with this guidance document in response to Covid-19. ACKNOWLEDGEMENT AND RELEASE Maximum Training Centre and its members commit themselves to comply with the requirements and recommendations of local, provincial, and federal public health and government authorities and to put in place and adopt all necessary measures to that effect. However, Maximum Training Centre cannot guarantee that you (or your child, if the participant is a minor) will not become infected with COVID-19. Further, attending and participating in the activities offered by Maximum Training Centre could increase your (or your child, if the participant is a minor) risk of contracting COVID-19 despite all preventative measures put in place. By signing this document, you (or your child, if the participant is a minor) acknowledge: (1) The highly contagious nature of COVID-19 and you voluntarily assume the risk that you (or your child, if the participant is a minor) could be exposed or infected by COVID-19 by participating in Maximum Training Centre’s activities. Being exposed or infected by COVID-19 may particularly lead to injuries, diseases or other illnesses. (2) You are voluntarily participating in Maximum Training Centre’s activities. (3) Neither you (or your child, if the participant is a minor) nor anyone in your household, have experienced any cold or flu-like symptoms in the last 14 days (including fever, cough, sore throat, respiratory illness, difficulty breathing). (4) If you (or your child, if the participant is a minor) experience, or if anyone in your household experiences any cold or flu-like symptoms after submitting this declaration, you (or your child, if the participant is a minor) will not attend any of Maximum Training Centre’s activities, programs or services until at least 24 hours have passed since those symptoms were last experienced. (5) Neither you (or your child, if the participant is a minor) nor any member of my household has travelled outside of Canada in the past 14 days. If you (or your child, if the participant is a minor) or anyone in your household travels outside of Canada after submitting this declaration, you (or your child, if the participant is a minor) will not attend any of Maximum Training Centre’s activities, programs or services until at least 14 days have passed since the date of return. (6) You (or your child, if the participant is a minor) agree to follow the requirements and recommendations of the local, provincial, and federal public health and government authorities and to follow those special safety regulations put in place by Maximum Training Centre as it pertains to COVID-19. (7) You (or your child, if the participant is a minor) agree that, by filling out and signing this waiver and agreeing to the terms and conditions set out in it, you are giving up your legal rights to sue Maximum Training Centre and its officers and directors in the event that you (or your child, if the participant is a minor) contracts COVID-19. This document is in addition to and does not replace all other Maximum Training Centre waivers.
